Clam Lake Protection and Rehabilitation District
By-Laws
Instituted October, 2001
Article 1. The board of the Clam Lake PRD shall consist of five (5) members.
Article 2. The term of each board member shall be three (3) years. Board members may be elected for more than one term.
Article 3. The Clam Lake PRD Association must hold one public meeting each year. Lake residents must be notified via newspaper ads (in two consecutive issues) and notices must also be posted in public places at least two (2) weeks prior to the scheduled meeting, or a direct mailing may be used to notify all property owners on Clam Lake.
Article 4. The board shall elect a chairman and secretary/treasurer each year within a two-week period following the annual meeting. The chairman and secretary/treasurer may be re-elected by the board members.
Article 5. A vacancy in the membership of elected board can be filled by appointment of the chairman, subject to approval by a majority vote of the board.
Article 6. The board is required to have an audit of financial transactions of the lake association at the close of each fiscal year. The report must be presented at the Annual Meeting. The end of the lake association fiscal year is July 31st.
Article 7. The lake association board shall meet at least once every quarter. The chairman, or any three (3) board members, may call meetings at other times. The foreman will attend the 1st meeting held in the spring. (This meeting is to be held before the weed cutters and elevators have been put in the lake.)
Article 8. The chairman of the board or foreman will not spend more than $500.00 with out specific board majority approval. (This does not include expenses for gas and oil but does include any other.)
Article 9. Any lake resident may attend a board meeting if they request to do so.
Article 10. Any board member may be reimbursed for mileage and long-distance telephone calls, after receipts for the sum have been turned in to the secretary/treasurer.
*Article 11.The Clam Lake PRD is an association of property owners that exists to support the protection, improvement or recreational development of Upper and Lower Clam Lake for the benefit of the general public.

All Meetings will follow Robert's Rules of Order
Robert's Rules of order provides common rules and procedures for deliberation and debate in order to place the whole membership on the same footing and speaking the same language. Robert's Rules provides for constructive and democratic meetings, to help, not hinder, the business of the assembly. Under no circumstances should "undue strictness" be allowed to intimidate members or limit full participation.
